[摘 要]混合所有制改革是我國(guó)國(guó)有企業(yè)改革的主要方式,但與國(guó)企混改的模式有所不同。中國(guó)建材集團(tuán)是被國(guó)資委列為首批混改試點(diǎn)的單位,經(jīng)歷多年改革探索出以并購(gòu)重組為核心的三種改革方式。與此同時(shí),建材行業(yè)整體效益下滑,有效供給不足問(wèn)題嚴(yán)峻,是國(guó)家供給側(cè)改革實(shí)施的重點(diǎn)領(lǐng)域。選擇中國(guó)建材集團(tuán)下屬核心公司中國(guó)巨石為案例來(lái)具體研究雙重改革下對(duì)其經(jīng)營(yíng)績(jī)效的長(zhǎng)期影響。可以給其他有內(nèi)部整合訴求的行業(yè)和需要市場(chǎng)化改革的國(guó)企提供借鑒。

Research on “Mixed Reform” Mode and its Influence under the Background
of Supply-Side Reform
——Take China Building Materials Group as an Example

Abstract: The mixed ownership reform is the main way of state-owned enterprises reform in China, but the mode of mixed ownership reform varies with different state-owned enterprises. China Building Materials Group is listed as one of the first batch of mixed reform pilot units by the state-owned assets supervision and administration commission (SASAC). After years of reform, it has explored three reform methods centering on merger, acquisition and reorganization. At the same time, the overall benefit of the building materials industry is declining, and the problem of effective supply shortage is severe. The core company of China building materials group, China Stone, is selected as a case to study the long-term impact of dual reform on its business performance. It can provide reference for other industries with internal integration demands and state-owned enterprises in need of market-oriented reform.

一、引言
在改革開(kāi)放以及市場(chǎng)經(jīng)濟(jì)發(fā)展推動(dòng)下,20世紀(jì)90年代開(kāi)始提出了混合所有制改革的相關(guān)方案,希望通過(guò)引入民間資本提高國(guó)企的生產(chǎn)力水平,發(fā)展有競(jìng)爭(zhēng)力和創(chuàng)新力的現(xiàn)代公司治理體系。從2014年國(guó)資委啟動(dòng)改革試點(diǎn)以來(lái),截至2018年末,前三批混改試點(diǎn)企業(yè)達(dá)到50家,并且未來(lái)呈現(xiàn)批量推動(dòng)趨勢(shì)。成立于1984年的中國(guó)建材集團(tuán),是一家集科研、生產(chǎn)、流通為一體的大型綜合建材產(chǎn)業(yè)集團(tuán),被國(guó)資委納入首批改革試點(diǎn)。自2002年起,企業(yè)為解決未來(lái)如何發(fā)展以及改變行業(yè)整體“多散亂”的問(wèn)題,中國(guó)建材集團(tuán)開(kāi)始進(jìn)行行業(yè)的整合以及多種資本的融合,重組近千家不同所有制企業(yè),明確了“央企市營(yíng)”的道路。……
