《中華人民共和國外商投資法》英語譯文中的問題分析

摘 要：《中華人民共和國外商投資法》已經通過，并將實施，但其英語譯文中仍然存在一些問題。本文分析《中華人民共和國外商投資法》部分法律條文的英文翻譯中存在的各種翻譯方面的問題，指出其原因，并給出了改進建議。

2019年3月15日，中華人民共和國第十三屆全國人民代表大會第二次會議表決通過了《中華人民共和國外商投資法》，此法將于2020年1月1日起施行?！吨腥A人民共和國外商投資法》是應中國對外開放新形勢的要求而制定的，它改變了以往法規分散的狀態，與國際法律體系接軌，這是中國全面對外開放的實踐的需求。既展現了新時代中國積極的對外開放姿態，也體現了推動新一輪高水平對外開放、營造國際一流營商環境的要求，并表明了新時代中國進一步擴大對外開放、營造良好投資環境、保護外商合法權益，促進外商投資的決心和信心，不僅向全世界傳遞了中國擴大對外開放、保護外資合法權益的積極信號，同時也增強了外國投資者對中國市場的信心。無疑，這部法律將對我國的改革開放產生深遠的影響。

2019年3月22日，中國日報網英語點津獲“外宣微記”授權轉載了由中國政法大學國際法學院院長孔慶江教授翻譯的《中華人民共和國外商投資法》英文版全文（http：//language.chinadaily.com.cn/a/201903/22/WS5c94798ca3104842260b205f.html），并聲明“譯文不具備法律效力，僅供交流學習。”

筆者在學習本法律英語譯文的過程中發現了一些翻譯方面的問題，如語法問題、用詞問題、對原文的理解問題等等，現將這些問題逐條進行分析，找出原因，并給出修改建議，目的是進一步完善此法律的英文翻譯，一方面，更好地服務于外商投資，另一方面，和英語屆的同行們進行交流學習，共同提高。

第六條 分析：因為此句是一個否定句，否定詞“不得”既否定“危害中國國家安全”，又否定“損害社會公共利益”，英語的否定句中否定詞后面的兩個并列項之間要用“or”連接，肯定句中才用“and”連接并列項。“不得危害中國國家安全、損害社會公共利益”的譯文建議改為：“shall not endanger China's national security or harm the public interest”。

第九條 分析：“適用”常譯為“apply to”，其中，“apply”是不及物動詞，“to”是介詞，“apply to…”的主語是法律、協議、政策等，適用的對象做賓語，這一點從本法的第二條的英語譯文也可以看出<第二條：在中華人民共和國境內（以下簡稱中國境內）的外商投資，適用本法。第二條英語譯文：This Law applies to foreign investment in the territory of the People's Republic of China（hereinafter referred to as “within the territory of China”）>，所以，第九條的英文翻譯建議修改為：The State policies concerning the support of enterprise development apply to foreign-invested enterprises equally in accordance with the law.

第二十條 第三句 分析：此句漢語中，“公平”“合理”修飾“補償”，“及時”修飾“給予”。而英語譯文中，“timely” 和“reasonable”并列修飾“compensation”，“公平”之意沒有譯出。此句建議譯為：The expropriation and requisition shall be conducted in accordance with legal procedures and fair and reasonable compensation shall be made timely.

第二十一條 分析：本條文的漢語意思是各種所得“可以以人民幣或者外匯自由匯入、匯出”。而英語譯文中只有匯出，沒有匯入。也許譯者認為，只可能匯出，但實際上，匯出后還有可能匯入。譯者應忠實于原文。此條譯文建議改為：Foreign investors' capital contribution，profits，capital gains，assets disposal income，intellectual property royalties，legally obtained damages or compensation，liquidation proceeds，etc.，may be remitted freely inward and outward in the form of RMB or foreign exchange according to the law.

第二十二條 分析：“技術合作的條件由投資各方遵循公平原則平等協商確定”這句話中，“投資各方”是“確定”這個動作的執行者，即句子的主語，其前面應使用介詞“by”，而不用“between”。投資各方一般翻譯為all investors即可。另外，“阻止/禁止某人干某事”英語表達是“prohibit sb.from doing sth.”，而不是“prohibit sb.to do sth.”。所以此句譯文建議改為：The conditions for technical cooperation are determined by all the investors through equal negotiation in accordance with the principle of fairness.Administrative agencies and their staff are prohibited from forcing technology transfer by administrative means.

第二十三條 分析：此句中“商業秘密”有兩個定語：“履行職責過程中知悉的”和“外國投資者、外商投資企業的”，其中，第二個定語跟先行詞之間的修飾關系更加密切，應緊跟在先行詞后面。另外，“向某人提供某物”英語表達是“provide sth.for sb.”。所以此句譯文建議改為：The administrative organs and their staff shall keep confidential the business secrets of foreign investors and foreign-invested enterprises known to them during the performance of their duties，and shall not disclose or illegally provide them for others.

第二十四條 分析：此句的第二個分句中，否定詞not修飾后面三個“不得”干的事情，最后兩個并列項之間應用連詞“or”連接，而不用“and”?！皊et forth”意為“出發，動身，啟程;闡明，陳述”?！霸O置”用動詞“set”即可。所以此句的譯文建議修改為：The people's governments at all levels and their relevant departments shall be in compliance with the provisions of laws and regulations in formulating normative documents concerning foreign investment;unless authorized by laws and administrative regulations，they shall not derogate from the legitimate rights and interests of foreign-invested enterprises or increase their obligations，set conditions for market access and exit，or interfere with normal production and operation of foreign-invested enterprises.

第二十六條 第三句 分析：此句中，“前款規定”譯成了“the provisions of the preceding paragraph”。從上下文可以看出，“前款”指的是第二十六條中本句前面的兩句話的規定，即“國家建立外商投資企業投訴工作機制，及時處理外商投資企業或者其投資者反映的問題，協調完善相關政策措施?！焙汀巴馍掏顿Y企業或者其投資者認為行政機關及其工作人員的行政行為侵犯其合法權益的，可以通過外商投資企業投訴工作機制申請協調解決?！彼?，此句的譯文建議修改為：If a foreign-invested enterprise or its investors believe that the administrative actions of the administrative organ and its staff infringe upon their legitimate rights and interests，in addition to applying for a coordinated solution through the complaint and settlement mechanism for the foreign-invested enterprise in accordance with the preceding provisions in this article，they may also apply for administrative reconsideration and file an administrative lawsuit according to law.

第二十七條 分析：“商會、協會”在第一句中譯成了復數“chambers of commerce and associations”，第二句中卻譯成了單數“The chamber of commerce and association”，而后面的物主代詞兩處都用了“its”，出現了前后不一致的情況。因此，第二句建議改為：The chambers of commerce and associations shall carry out relevant activities in accordance with the laws，regulations and their articles of association to safeguard the legitimate rights and interests of their members.

第三十一條 分析：此條和第九條的問題相同，“適用”常翻譯為“apply to”，其主語是法律、協議、政策等，適用的對象做賓語，所以，此句建議改進為：The provisions of The Company Law of the People's Republic of China and The Law of the Partnership Enterprise of the People's Republic of China shall apply to the forms of organization，organization structures and activity criteria of foreign-invested enterprises.

第三十六條 第三句 分析：“外商投資準入負面清單規定”這個短語中 “外商投資準入”是修飾“負面清單”的，而不是“負面清單”修飾“外商投資準入”，譯文對原文不夠忠實?！扒皟煽钜幎ā敝傅氖堑谌鶙l第一句和第二句的規定。不能譯成“ the preceding two paragraphs”。此句建議改為：Where the investment activities of a foreign investor violates the provisions of the negative list for the admission of foreign-investment，in addition to the measurement measures in the preceding two provisions in this article，it shall also bear corresponding legal liabilities under the law.

第三十九條 分析：staff 是集體名詞，意為“全體職工，全體員工”，指具體某個員工可用a staff member，而不用a staff。“構成犯罪”被譯成了“if he commits a crime”，顯然不妥，“犯罪”和“構成犯罪”含義是不一樣的，“構成犯罪”英語為“constitute a crime”。所以，建議本句修改為：If a staff member of an administrative organ abuses his power，neglects his duties or engages in malpractices in the promotion，protection and management of foreign investment，or leaks or illegally provides others with trade secrets that he or she knows in the course of performing his duties，he shall be punished according to the law;if a crime is constituted，he shall be held criminally responsible.

第四十一條 分析：此句中，“國家另有規定的”有二種情況：一是“外國投資者在中國境內投資銀行業、證券業、保險業等金融行業”，二是“外國投資者”“在證券市場、外匯市場等金融市場進行投資的管理”。此譯文的問題是“進行投資的管理”沒有翻譯出來。因此，此句建議修改為：If the State has other provisions for foreign investors investing in banking，securities，insurance and other financial industries or conducting investing management in the securities market，foreign exchange market and other financial markets within the territory of China，such provisions shall be applicable.

以上分析指出的一些翻譯問題似乎不是什么嚴重問題，但是國家法律的翻譯是一個跟嚴謹的事情，不容出現錯誤，特別是涉及外商的法律，主要是給外商看的，更不應該出現問題。在翻譯法律文本時，更需要認真嚴謹、一絲不茍的工作態度。若筆者對原譯文的理解有誤，希望原譯者和廣大翻譯界同仁不吝批評指正。
