淺談我國家族企業治理模式的法律研究

摘 要：家族企業作為一種最古老的企業形式，在各國的經濟發展中都占有很重要的地位。在一定歷史時期內家族治理模式有其存在的合理因素，具有其他公司治理模式無可比擬的優勢，從私營經濟的成長過程來看，它是在特殊的歷史條件下和體制背景下完成其原始積累的，因此，私營經濟發展方式表現出相當的非規范性，在家族企業內部治理機制上存在著諸多弊端。本文一方面研究家族企業治理模式存在的問題；另一方面比較研究國外家族企業治理模式，借鑒相關成功經驗，從完善企業內部治理機制和改善外部治理環境入手，提出明晰所有權結構、規范經理人市場、建立現代企業制度以及完善相關法律法規等具體措施。

Abstract：Family business as one of the most ancient forms of enterprise occupies an important position in the economic development of many countries.With the development of economic globalization Family governance model has its reasonable aspect，that is，the commissioned cost、decision cost and coordination cost have been greatly reduced due to the direct control of family business.Form the viewpoint of private sector economy growth，it accomplishes it is original accumulation under special historic circumstances and a special economical system background，thus，the mode of private sector economy development is not standardized in its inner systematic arrangement，On the one hand，this paper research the problem of the family governance model，on the other hand，studying the pattern of the foreign family enterprises，getting some successful experiences，From improving their internal governance mechanism and improving the external governance environment to start，make clear ownership structure，regulate the market manager，establish a modern enterprise system and improve relevant laws and regulations and other specific measures.
